PC DOCS Group to acquire Fulcrum Technologies

PC DOCS Group International and Fulcrum Technologies have signed an agreement under which PC DOCS Group will make an offer to acquire Fulcrum.

Under the terms of the agreements between PC DOCS Group, Fulcrum Technologies and Fulcrum's largest and controlling shareholder, Datamat Ingegneria S.p.A, PC DOCS Group intends to make a take over bid to acquire all of the issued and outstanding shares of Fulcrum Technologies.

The bid will offer Fulcrum shareholders, the right to have their shares exchanged for PC DOCS Group common shares at the rate of one share of PC DOCS, for 4.4 shares of Fulcrum. Up to approximately 4 million common shares of PC DOCS Group will be issued to acquire all of the common shares of Fulcrum. Upon successful completion of the offer, Fulcrum will continue to operate as a separate company under its name as part of the PC DOCS Group.

The offering is currently being mailed to Fulcrum shareholders.
